These Terms of Service ("Terms") govern access to and use of LYM's website, dashboard, tracking infrastructure, and related services (together, the "Service"), operated by LYM ("LYM," "we," "us," or "our"). LYM connects Stripe-backed products ("Organizations," "Brands," or "Companies") with creators, publishers, and marketers ("Partners") through a performance-based Partner Program.
By creating an account, applying to a Partner Program, connecting an Organization, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity. If you do not agree, do not use the Service.
You must be at least 18 years old and capable of forming a binding contract to use the Service. You must provide accurate, current, and complete information when registering, applying to a Program, or connecting payment infrastructure, and must keep that information up to date. LYM may refuse, condition, or revoke access to the Service at its sole discretion, including where required to comply with sanctions, anti-money-laundering, or other legal obligations applicable to LYM or its payment partners.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. LYM is not liable for any loss arising from your failure to safeguard your account.
Partners apply to join one or more Organization Programs through the LYM dashboard. Each Organization independently reviews and approves or rejects Partner applications to its own Program. Approval into one Program does not guarantee approval into another, and LYM does not guarantee that any application will be approved.
Upon approval, LYM issues a unique tracking link, and where an Organization offers one, a discount code, for use only in connection with the approved Program. A sale is attributed to a Partner when a verified click or code use is followed by a qualifying purchase within the attribution window disclosed for that Program, up to a maximum of thirty (30) days. LYM's tracking and attribution records are the sole and final basis for determining whether a conversion qualifies for commission, absent manifest error.
Participation in any Program is non-exclusive and may be modified, paused, or terminated by the relevant Organization or by LYM at any time, including changes to commission rates, attribution windows, or Program eligibility, on a going-forward basis.
Each Organization sets its own commission rate, disclosed to you before you apply to that Program. Unless the Program states otherwise, commission accrues only on a referred customer's first payment to the Organization; renewals, upsells, and subsequent charges are not commissionable unless expressly stated.
Commission on a qualifying sale enters a thirty (30) day holding period from the date the sale clears, during which it may be reversed in full or in part for refunds, chargebacks, disputes, cancellations, or suspected fraud. Only commission that survives the holding period becomes payable.
Cleared commission is paid out automatically on a monthly basis via Wise, provided your accrued, cleared balance meets the minimum payout threshold displayed in your dashboard. Balances below the threshold roll over to the next payout cycle. You are responsible for completing any identity verification, tax documentation, or account setup that Wise or LYM requires to release a payout, and LYM is not liable for delays caused by incomplete verification on your end.
You are solely responsible for determining and paying any taxes owed on commission you receive, and for providing any tax forms LYM or its payment partners reasonably request.
LYM may withhold, adjust, reverse, or claw back commission at any time, including after payout, where a sale is refunded or charged back, where a click, conversion, or account is found to be fraudulent or in violation of these Terms, or where an Organization disputes a conversion in good faith. Commission tied to an account terminated for cause under Section 8 is forfeited.
Organizations that list a Program on LYM must connect a valid Stripe account, provide accurate Program terms, and pay all commission owed to Partners and all fees owed to LYM in accordance with the Program terms they publish and any separate agreement with LYM. An Organization may not solicit a Partner to transact outside the Service in order to avoid commission owed through LYM.

Violation of this Section is grounds for immediate suspension or termination and forfeiture of unpaid commission under Sections 4.5 and 8.
LYM owns all right, title, and interest in the Service, including its software, tracking infrastructure, dashboard, and branding. Subject to your compliance with these Terms, LYM grants you a limited, non-exclusive, non-transferable, revocable license to use your tracking link(s) and code(s) solely to promote the Programs you are approved for. An Organization's trademarks, logos, and promotional assets may be used only as authorized by that Organization and solely in connection with its Program. You retain ownership of content you create, and grant LYM and the relevant Organization a non-exclusive, royalty-free license to display, distribute, and reproduce that content solely for operating and marketing the Program you participate in.
LYM may suspend or terminate your access to the Service, or your participation in any Program, at any time, with or without notice, for actual or suspected violation of these Terms, at an Organization's request regarding its own Program, or where required by law or by our payment partners. You may stop using the Service or close your account at any time by contacting us. Sections 4.5, 7 (as to license grants already made), 9–15, and any accrued payment obligations survive termination.
The Service relies on third-party infrastructure, including Stripe for Organization payment verification and Wise for Partner payouts. Your use of those services is subject to Stripe's and Wise's own terms and privacy policies, and LYM is not responsible for their acts, omissions, downtime, or decisions, including account holds, verification requirements, or payout delays they impose.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. LYM DOES NOT GUARANTEE ANY LEVEL OF EARNINGS, TRAFFIC, CONVERSIONS, OR APPROVAL INTO ANY PROGRAM, AND DOES NOT WARRANT THE ACCURACY OF ANY ORGANIZATION'S CLAIMS ABOUT ITS OWN PRODUCT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYM AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LYM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE COMMISSION PAID TO YOU BY LYM IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify, defend, and hold harmless LYM and its officers, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of or related to your use of the Service, your promotional content, your violation of these Terms, or your violation of any law or third-party right.
These Terms are governed by the laws of the jurisdiction in which LYM is organized, without regard to conflict-of-laws principles. Before filing a claim, you agree to first contact us at legal@lym.sh so we can attempt to resolve the dispute informally. Any dispute that cannot be resolved informally will be resolved on an individual basis, and you and LYM each waive any right to a jury trial or to participate in a class, collective, or representative action, to the fullest extent permitted by law.
LYM may modify these Terms from time to time. Material changes will be notified through the dashboard or by email, and will take effect no earlier than the date stated in the notice. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. LYM's failure to enforce a provision is not a waiver of it. You may not assign these Terms without LYM's prior written consent; LYM may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with any Program-specific terms disclosed in the dashboard, constitute the entire agreement between you and LYM regarding the Service.
